2. WEB & APP DEVELOPMENT AND DIGITAL MARKETING SERVICES

- Roles

*Stratagem.world web development team will provide the website design, development, programming, and other consulting services to create a deliverable end product.

*The Copywriter will provide the website’s textual elements and branding strategy of the website itself. A Marketing and SEO consultant will provide an effective strategy for marketing this website, specifically testing said strategy and observing and assessing its effects. Specifics and technicalities of strategy will be supplemented based on further discussions with the client.

*Metrics key to the client’s investment in web development will provide and inform iteration of/modifications to the strategy, which can be immediately implemented in conjunction with the website and the company’s projected developments.

- Support

We allow 45 days after the website is launched for any undiscovered bugs to be uncovered and fixed without charge.

- Design and Development

*Design and Development estimates are provided on a per-project basis. The given cost estimate provides for minor design or development changes.

* Consultants/Providers of Services are personal guarantors and partial IP owners of contract deliverables, additionally, the IP ownership is subject to the specific agreement terms between services oversight and client.

- Changes

*The client is responsible for making additional payments for changes that require excessive re-design of the project. A change is defined as:

*Work requested by the Client beyond the agreed-upon scope (including but not limited to the time limit outlined by Stratagem.world).

*Changes to deliverables that have been previously reviewed and accepted by the Client.

- Delivery

*Delivery dates are predicated on the timely receipt of all materials to be supplied by the client.

*Every attempt shall be made to meet the delivery date, but unforeseen or unavoidable delays not caused by Stratagem.world, shall not constitute a breach of the project agreement.

- Rush Charges

*Rush charges are incurred if the project must be completed within an accelerated or otherwise unscheduled time frame.

*Design/Production: Rush charges for design and development incur 30% additional to the estimated rate.

- Electronic File Sharing

*If the Client has requirements for how the project is to be prepared and shared electronically, this must be communicated to Stratagem.world before the beginning of the project.

- Cancellation

*In the event of project cancellation, the Client shall forfeit any payments made and may be held liable for breach of contract.

*Upon project cancellation, all artwork created by Stratagem.world is retained by Stratagem.world.

*The client is responsible for all costs and fees based upon the contract price and expenses incurred for the creation of this artwork.

*Cancellation of an assignment shall only be authorized and taken as final when given in writing to STRATAGEM.WORLD.

- Ownership

*Unless otherwise specified, the final accepted website created through the services of Stratagem.world is the property of the Client upon final payment of assignment.

- StrataGem.World Concept and Materials Ownership

*Preliminary ideas and artwork created by Stratagem.world in the course of developing client projects which were not accepted by the Client remain the property of 'Stratagem.world’. The use or development of such ideas or artwork by persons or firms other than for sole project intent and Stratagem.world is expressly prohibited.

- Limitation of Liability

*The client agrees that they shall not hold Stratagem.world, or its agents or employees, liable for incidental or consequential damages that may arise from Stratagem.world's failure to perform any aspect of the project in a timely manner, regardless of whether such failure was caused by negligent acts (excepting the sole negligence of Stratagem.world or omissions by Stratagem.world).

*Client agrees to limit Stratagem.world’s liability to the client, for any claims by the client against Stratagem.world (and its employees, agents, owners, representatives, and contractors), to a total maximum amount of half of the project's fees.

- Web Development Standards

*All services described herein are to be performed by Stratagem.world under the most commonly accepted standards and practices of the Web Services Industry.

* STRATAGEM.WORLD will use the most universally accepted website design

technologies to serve the broadest market possible – meaning web pages created by our services will look and behave in the same standardized manner on over 95% of all web browsers in use at any given time.

- Additional Notes

*The terms and conditions set forth in this document constitute a mutual delineation of the behaviors acceptable by both parties to a Web Development Contract.

*Any additional work not specified in this contract must be authorized by both original parties in writing.

*Any additional Services needed beyond what is specified in estimates submitted to the Client will be charged at rates assessed and determined by an on-site consultant/ local point of contact.

- Warranties and Liability

*Stratagem.world does not warrant that the functions of the Client’s Site will meet the Client’s expectations of traffic or resulting Client. In no event will Stratagem.world be liable to the Client or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential, or incidental damages arising out of the operation of, or inability to operate, the Client’s Site or any of its web pages.

*Stratagem.world will have no further obligation or liability beyond such service and repair. In no event will StrataGem.World be liable for any damage resulting from loss of use, data, profit, or Client, or for any indirect, incidental, or consequential damages, whether arising from an action of contract, tort, or other legality.

*Stratagem.world liability for damages for any cause, whatsoever, and regardless of the form of action (in contract or tort) will be limited to the service fee actually paid under this agreement.

- Trademarks and Copyright

*The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork assets furnished to Stratagem.world for inclusion in web pages are owned by the Client, or that Client has permission from the rightful owner to use each of these elements and will hold harmless, protect, and defend Stratagem.world from any claim or suit arising from the use of such elements furnished by the Client.

*Stratagem.world initially owns the copyright to the products of its labour, or that of its consultants or partners, produced over the course of Web Development Services. Upon payment for Web Development services rendered, all rights owned by Stratagem.world for the Client’s Site transfer to the Client.

- Web Development Services Payment Terms

*The Client agrees to begin payments to Stratagem.world for Web Development services as submitted to them once the estimate has been agreed upon in writing (emails are considered writing) by the Client.

*The Client and our agent from Stratagem.world agree that the amount to be paid for said Web Development services shall be payable to Stratagem.world as outlined in the estimate section.

*Please note the following payment terms:

1. A specified deposit upon signed agreement between both Stratagem.world and client, to guarantee timely project start date and timely final finishes.

2. Final payment should be settled within 10 days after project completion.

3. We accept e-payments (for both deposits and final payments) at our portal: https://stratagem.world/pay-for-project

4. Payment options such as monthly installments, subject to services oversight, can be granted to our clients in certain cases.

- Non-Disclosure Agreement Neither party will release proprietary information on the client’s project during the entirety of the projection completion, post-project consultative phases, and for the lifetime of the website, should the non-disclosure time frame be necessitated at the Client’s request.

NETWORK SUPPORT SERVICES

- Expectations of clients

*Stratagem.world can use remote access tools to view a specific troubleshooting instance. Accessing the Client’s systems, by Stratagem.world, will happen only upon Client’s request. If remote access is not an available option, it will take significantly longer to identify and resolve the outstanding incident.

*Stratagem.world will not take control of the remote access session but will instead guide the Client through executing commands, gathering data, making configuration changes, or any other actions as may be necessary.

*Stratagem.world recommends that the Client create backup copies of configuration files before any work is performed. Any recommended changes must be validated by the Client and, where possible, will first be made on a standby unit.

*Stratagem.world will make use of security shred bins for all sensitive Customer information that may be written on paper.

*Stratagem.world does not share any Customer information.

3.WORKSHOPS

- Expectations of clients

*The Client agrees to pay all fees associated with Workshops and clearly specify on which date they would like to reserve their participation for a Workshop, in accordance with a preset event calendar from Stratagem.world that shows when Workshops are intended to be conducted.

*Pending session availability, client is able to change the date of or cancel their Workshop reservation up to one week (7 days) in advance of the original booking date. Changes to reservations made after this period are non-refundable.

*Client agrees to ensure their attendance to and participation in Workshops within the given timeframe provided by Stratagem.world.

- Responsibilities of Stratagem.world

*Stratagem.world takes Workshop slot bookings on a first come first serve basis, and does not guarantee that clients will be able to reserve Workshop slots on their preferred time or date.

* Stratagem.world reserves the right to cancel or postpone Workshops in case of unforeseen circumstances, and pledges to communicate any such change to clients with reservations as soon as possible.

*In the event of Workshop cancellation or postponement, clients are entitled to a full refund of any money paid to Stratagem.world.

*Stratagem.world will not be responsible for missed attendance during Workshops, and will not refund any payments made to it if 7 or fewer days are left prior to the Workshop’s commencement.

*Stratagem.world will work with client in good faith to provide edificatory and fulfilling Workshops.

*Client accepts full responsibility for the outcome of any job search or school application campaigns and agrees not to hold Stratagem.world responsible for the lack of admissions to schools, job offers, failure to obtain employment, or any other related outcomes.
